Préambule
Les présentes Conditions Générales de Vente (CGV) régissent les relations contractuelles entre AM Global Trading, nom commercial de la société GREMAR-GROUP SRL, dont le siège social est situé Chemin des Bigaudes 34, boîte 2 — 7812 Mainvault, Belgique, immatriculée sous le numéro d'entreprise (BCE) 0465.777.172, TVA intracommunautaire BE0465777172, (ci-après « AM Global Trading » ou « le Vendeur ») et tout client professionnel (ci-après « le Client » ou « le Revendeur ») effectuant un achat sur le site amglobaltrading.eu (ci-après « le Site »).
Le Site est exclusivement réservé à une clientèle de professionnels revendeurs. Les produits proposés ne sont pas destinés à la vente directe à des consommateurs finaux par AM Global Trading. Toute commande implique l'acceptation sans réserve des présentes CGV.
Article 1 — Accès au catalogue et validation du compte
1.1. L'accès au catalogue de produits et aux tarifs est réservé aux utilisateurs disposant d'un compte professionnel validé par AM Global Trading.
1.2. La création d'un compte nécessite la fourniture d'informations exactes : raison sociale, numéro d'entreprise, numéro de TVA intracommunautaire valide, et coordonnées de contact.
1.3. AM Global Trading se réserve le droit de refuser, suspendre ou clôturer tout compte, notamment en cas d'informations inexactes, de doute sur la qualité de professionnel du demandeur, ou de non-respect des présentes CGV.
1.4. La validation d'un compte ne constitue pas un engagement contractuel définitif et n'implique aucune obligation de vente future de la part d'AM Global Trading.
Article 2 — Nature du Site et commandes
2.1. Le Site a une vocation informative et catalographique : il présente les références disponibles à la vente mais ne permet pas de passer commande ni de payer en ligne.
2.2. Les commandes sont passées par email ou par WhatsApp, sur base du fichier tarifaire communiqué au Client conformément à l'Article 3.
2.3. Toute commande transmise par le Client vaut acceptation des prix et descriptions communiqués par AM Global Trading.
2.4. AM Global Trading se réserve le droit d'annuler ou de refuser toute commande en cas d'indisponibilité du produit, d'erreur manifeste sur le tarif communiqué, ou de litige antérieur avec le Client.
2.5. Une confirmation de commande est envoyée par email au Client après validation.
Article 3 — Prix et tarifs
3.1. Aucun prix n'est affiché sur le Site. Les tarifs sont communiqués aux Clients disposant d'un compte validé, sous la forme d'un fichier tarifaire (Excel ou équivalent) transmis directement par AM Global Trading.
3.2. Les prix figurant dans le fichier tarifaire sont exprimés en euros (€) et hors taxes (HT), sauf mention contraire explicite.
3.3. Les tarifs communiqués sont ceux en vigueur à la date d'émission du fichier et peuvent être révisés à tout moment ; le prix applicable à une commande est celui en vigueur au moment de la confirmation de commande par AM Global Trading.
3.4. La TVA applicable est déterminée selon la réglementation en vigueur (régime intracommunautaire, autoliquidation le cas échéant selon le pays du Client).
Article 4 — Paiement
4.1. Le paiement est exigible au moment de la commande, préalablement à l'expédition des produits, sur base de la confirmation de commande envoyée par AM Global Trading (reprenant les prix issus du fichier tarifaire).
4.2. Le paiement s'effectue par virement bancaire, sur base des coordonnées bancaires communiquées par AM Global Trading.
4.3. En l'absence de paiement complet, la commande n'est pas traitée et peut être annulée par AM Global Trading.
Article 5 — Livraison
5.1. Les produits sont livrés à l'adresse professionnelle indiquée par le Client lors de la commande.
5.2. AM Global Trading livre dans l'ensemble des pays de l'Union européenne.
5.3. Les délais de livraison indiqués sont donnés à titre indicatif et ne constituent pas un engagement ferme, sauf accord contraire écrit.
5.4. Les frais de livraison sont communiqués au Client sur la facture correspondant à sa commande.
5.5. Le Client est invité à vérifier l'état de la marchandise à la réception et à signaler dans les meilleurs délais toute anomalie visible (dommage, manquant) à AM Global Trading.
5.6. Le transfert des risques s'opère à la remise des produits au transporteur, sauf disposition légale contraire.
Article 6 — Non-conformité et garanties
6.1. Les ventes sont fermes et définitives. AM Global Trading n'accorde pas de droit de retour pour convenance personnelle ou changement d'avis.
6.2. Seule la garantie du fabricant concerné s'applique aux produits vendus, selon la référence. AM Global Trading n'accorde aucune garantie commerciale additionnelle.
6.3. En cas d'erreur de livraison imputable à AM Global Trading (référence erronée, produit endommagé à la livraison) ou de vice caché, le Client est invité à le signaler dans les meilleurs délais, accompagné de photos et/ou d'une description précise, afin de permettre une régularisation.
Article 7 — Responsabilité
7.1. AM Global Trading agit en qualité de distributeur des produits et ne saurait être tenu responsable de l'usage qui en est fait par le Client ou par les clients finaux du Client.
7.2. Le Client, en sa qualité de revendeur professionnel, demeure seul responsable de la conformité de la revente de ces produits à sa propre clientèle, notamment au regard du droit de la consommation applicable.
7.3. La responsabilité d'AM Global Trading ne saurait être engagée en cas de force majeure, de rupture de stock chez ses fournisseurs, ou de dommages indirects.
Article 8 — Propriété intellectuelle et marques
8.1. Toutes les marques présentes sur le Site sont la propriété exclusive de leurs titulaires respectifs.
8.2. AM Global Trading agit en qualité de distributeur autorisé/revendeur de ces produits et ne revendique aucun droit de propriété intellectuelle sur ces marques.
8.3. Les contenus du Site (textes, visuels, structure) sont la propriété d'AM Global Trading et ne peuvent être reproduits sans autorisation préalable.
Article 9 — Protection des données personnelles
Les données collectées lors de la création de compte et du passage de commande sont traitées conformément au Règlement Général sur la Protection des Données (RGPD). Pour plus d'informations, consultez notre Politique de confidentialité.
Article 10 — Droit applicable et litiges
10.1. Les présentes CGV sont soumises au droit belge.
10.2. En cas de litige, une solution amiable sera recherchée en priorité. À défaut d'accord, seuls les tribunaux de l'arrondissement judiciaire du Hainaut, division Tournai, seront compétents.
10.3. La version française des présentes CGV fait foi en cas de divergence d'interprétation entre les versions linguistiques.

Inleiding
Deze Algemene Verkoopsvoorwaarden regelen de contractuele relatie tussen AM Global Trading, handelsnaam van de vennootschap GREMAR-GROUP BV, met maatschappelijke zetel te Chemin des Bigaudes 34, bus 2 — 7812 Mainvault, België, ingeschreven onder ondernemingsnummer (KBO) 0465.777.172, BTW-nummer BE0465777172, (hierna "AM Global Trading" of "de Verkoper") en elke professionele klant (hierna "de Klant" of "de Wederverkoper") die een aankoop doet op de website amglobaltrading.eu (hierna "de Website").
De Website is uitsluitend voorbehouden aan professionele wederverkopers. De aangeboden producten zijn niet bestemd voor rechtstreekse verkoop aan eindconsumenten door AM Global Trading. Elke bestelling impliceert de onvoorwaardelijke aanvaarding van deze voorwaarden.
Artikel 1 — Toegang tot de catalogus en accountvalidatie
1.1. Toegang tot de productcatalogus en de prijzen is voorbehouden aan gebruikers met een door AM Global Trading gevalideerd professioneel account.
1.2. Het aanmaken van een account vereist correcte gegevens: bedrijfsnaam, ondernemingsnummer, geldig intracommunautair BTW-nummer en contactgegevens.
1.3. AM Global Trading behoudt zich het recht voor om elk account te weigeren, op te schorten of af te sluiten, met name bij onjuiste gegevens, twijfel over de professionele hoedanigheid van de aanvrager, of niet-naleving van deze voorwaarden.
1.4. De validatie van een account vormt geen definitieve contractuele verbintenis en impliceert geen enkele verplichting tot toekomstige verkoop vanwege AM Global Trading.
Artikel 2 — Aard van de Website en bestellingen
2.1. De Website heeft een informatief en catalografisch doel: hij toont de beschikbare referenties, maar laat niet toe om online te bestellen of te betalen.
2.2. Bestellingen worden geplaatst per e-mail of via WhatsApp, op basis van het tariefbestand dat aan de Klant wordt bezorgd overeenkomstig Artikel 3.
2.3. Elke door de Klant verzonden bestelling geldt als aanvaarding van de door AM Global Trading meegedeelde prijzen en beschrijvingen.
2.4. AM Global Trading behoudt zich het recht voor om een bestelling te annuleren of te weigeren bij onbeschikbaarheid van het product, een manifeste fout in het meegedeelde tarief, of een eerder geschil met de Klant.
2.5. Een orderbevestiging wordt per e-mail verzonden naar de Klant na validatie.
Artikel 3 — Prijzen en tarieven
3.1. Er worden geen prijzen weergegeven op de Website. Tarieven worden meegedeeld aan Klanten met een gevalideerd account, in de vorm van een tariefbestand (Excel of gelijkwaardig) rechtstreeks bezorgd door AM Global Trading.
3.2. De prijzen in het tariefbestand zijn uitgedrukt in euro (€) en exclusief belastingen, tenzij uitdrukkelijk anders vermeld.
3.3. De meegedeelde tarieven zijn deze die gelden op de datum van uitgifte van het bestand en kunnen op elk moment worden herzien; de toepasselijke prijs voor een bestelling is deze die geldt op het moment van bevestiging van de bestelling door AM Global Trading.
3.4. De toepasselijke BTW wordt bepaald volgens de geldende regelgeving (intracommunautair stelsel, verlegging indien van toepassing naargelang het land van de Klant).
Artikel 4 — Betaling
4.1. Betaling is verschuldigd op het moment van bestelling, voorafgaand aan de verzending van de producten, op basis van de door AM Global Trading verzonden orderbevestiging (met de prijzen uit het tariefbestand).
4.2. Betaling gebeurt via bankoverschrijving, op basis van de door AM Global Trading meegedeelde bankgegevens.
4.3. Bij gebrek aan volledige betaling wordt de bestelling niet verwerkt en kan deze door AM Global Trading worden geannuleerd.
Artikel 5 — Levering
5.1. De producten worden geleverd op het professionele adres dat de Klant heeft opgegeven bij de bestelling.
5.2. AM Global Trading levert in alle landen van de Europese Unie.
5.3. De vermelde levertermijnen zijn indicatief en vormen geen vaste verbintenis, tenzij schriftelijk anders overeengekomen.
5.4. De leveringskosten worden aan de Klant meegedeeld op de factuur die overeenstemt met zijn bestelling.
5.5. De Klant wordt verzocht de staat van de goederen te controleren bij ontvangst en elke zichtbare anomalie (schade, ontbrekende goederen) zo snel mogelijk te melden aan AM Global Trading.
5.6. Het risico gaat over op het moment van overdracht van de producten aan de vervoerder, behoudens andersluidende wettelijke bepaling.
Artikel 6 — Non-conformiteit en garanties
6.1. Verkopen zijn vast en definitief. AM Global Trading verleent geen retourrecht om persoonlijke redenen of bij van gedachte veranderen.
6.2. Enkel de garantie van de betreffende fabrikant is van toepassing op de verkochte producten, naargelang de referentie. AM Global Trading verleent geen bijkomende commerciële garantie.
6.3. Bij een leveringsfout die aan AM Global Trading te wijten is (verkeerde referentie, product beschadigd bij levering) of een verborgen gebrek, wordt de Klant verzocht dit zo snel mogelijk te melden, samen met foto's en/of een nauwkeurige beschrijving, om een regularisatie mogelijk te maken.
Artikel 7 — Aansprakelijkheid
7.1. AM Global Trading treedt op als distributeur van de producten en kan niet aansprakelijk worden gesteld voor het gebruik ervan door de Klant of door de eindklanten van de Klant.
7.2. De Klant, in zijn hoedanigheid van professionele wederverkoper, blijft als enige verantwoordelijk voor de conformiteit van de doorverkoop van deze producten aan zijn eigen klantenkring, met name met betrekking tot het toepasselijke consumentenrecht.
7.3. AM Global Trading kan niet aansprakelijk worden gesteld in geval van overmacht, voorraadbreuk bij haar leveranciers, of onrechtstreekse schade.
Artikel 8 — Intellectuele eigendom en merken
8.1. Alle merken die op de Website worden aangeboden zijn de exclusieve eigendom van hun respectievelijke houders.
8.2. AM Global Trading treedt op als erkende distributeur/wederverkoper van deze producten en claimt geen enkel intellectueel eigendomsrecht op deze merken.
8.3. De inhoud van de Website (teksten, beelden, structuur) is eigendom van AM Global Trading en mag niet worden gereproduceerd zonder voorafgaande toestemming.
Artikel 9 — Bescherming van persoonsgegevens
De gegevens verzameld bij het aanmaken van een account en het plaatsen van een bestelling worden verwerkt in overeenstemming met de Algemene Verordening Gegevensbescherming (AVG/GDPR). Voor meer informatie, raadpleeg ons Privacybeleid.
Artikel 10 — Toepasselijk recht en geschillen
10.1. Deze Algemene Voorwaarden zijn onderworpen aan het Belgisch recht.
10.2. Bij een geschil wordt in eerste instantie een minnelijke oplossing gezocht. Bij gebrek aan akkoord zijn uitsluitend de rechtbanken van het gerechtelijk arrondissement Henegouwen, afdeling Doornik, bevoegd.
10.3. De Franse versie van deze Algemene Voorwaarden is doorslaggevend bij interpretatieverschillen tussen de taalversies.

These General Terms and Conditions of Sale ("Terms") govern the contractual relationship between AM Global Trading, a trading name of GREMAR-GROUP SRL, with registered office at Chemin des Bigaudes 34, box 2 — 7812 Mainvault, Belgium, registered under company number (BCE/KBO) 0465.777.172, VAT number BE0465777172, (hereinafter "AM Global Trading" or "the Seller") and any professional customer (hereinafter "the Customer" or "the Reseller") making a purchase on the website amglobaltrading.eu (hereinafter "the Website").
The Website is exclusively reserved for professional resellers. The products offered are not intended for direct sale to end consumers by AM Global Trading. Any order implies unconditional acceptance of these Terms.
Article 1 — Catalogue Access and Account Validation
1.1. Access to the product catalogue and pricing is reserved for users with a professional account validated by AM Global Trading.
1.2. Creating an account requires accurate information: company name, company registration number, valid intra-EU VAT number, and contact details.
1.3. AM Global Trading reserves the right to refuse, suspend, or close any account, in particular in the event of inaccurate information, doubt as to the applicant's professional status, or non-compliance with these Terms.
1.4. Account validation does not constitute a final contractual commitment and implies no obligation of future sale on the part of AM Global Trading.
Article 2 — Nature of the Website and Orders
2.1. The Website has an informational and catalogue purpose: it presents the references available for sale but does not allow orders to be placed or paid for online.
2.2. Orders are placed by email or via WhatsApp, based on the price list communicated to the Customer in accordance with Article 3.
2.3. Any order submitted by the Customer constitutes acceptance of the prices and descriptions communicated by AM Global Trading.
2.4. AM Global Trading reserves the right to cancel or refuse any order in the event of product unavailability, an obvious error in the communicated pricing, or a prior dispute with the Customer.
2.5. An order confirmation is sent by email to the Customer upon validation.
Article 3 — Prices and Pricing
3.1. No prices are displayed on the Website. Pricing is communicated to Customers with a validated account in the form of a price list (Excel or equivalent) sent directly by AM Global Trading.
3.2. Prices in the price list are expressed in euros (€) and exclusive of tax (excl. VAT), unless explicitly stated otherwise.
3.3. The prices communicated are those in effect as of the date the price list is issued and may be revised at any time; the price applicable to an order is the one in effect when the order is confirmed by AM Global Trading.
3.4. Applicable VAT is determined according to current regulations (intra-EU regime, reverse charge where applicable depending on the Customer's country).
Article 4 — Payment
4.1. Payment is due at the time of order, prior to shipment of the products, based on the order confirmation sent by AM Global Trading (reflecting the prices from the price list).
4.2. Payment is made by bank transfer, based on the bank details communicated by AM Global Trading.
4.3. In the absence of full payment, the order will not be processed and may be cancelled by AM Global Trading.
Article 5 — Delivery
5.1. Products are delivered to the professional address provided by the Customer when placing the order.
5.2. AM Global Trading delivers to all countries of the European Union.
5.3. Delivery times indicated are provided for information purposes only and do not constitute a firm commitment, unless otherwise agreed in writing.
5.4. Delivery charges are communicated to the Customer on the invoice corresponding to their order.
5.5. The Customer is invited to check the condition of the goods upon receipt and to report any visible anomaly (damage, missing items) to AM Global Trading as soon as possible.
5.6. Risk transfers upon handover of the products to the carrier, unless otherwise required by law.
Article 6 — Non-Conformity and Warranties
6.1. Sales are final. AM Global Trading does not grant any right of return for personal convenience or change of mind.
6.2. Only the relevant manufacturer's warranty applies to the products sold, depending on the reference. AM Global Trading does not grant any additional commercial warranty.
6.3. In the event of a delivery error attributable to AM Global Trading (incorrect reference, product damaged upon delivery) or a hidden defect, the Customer is invited to report it as soon as possible, together with photos and/or a precise description, to allow for a resolution.
Article 7 — Liability
7.1. AM Global Trading acts as a distributor of the products and cannot be held liable for their use by the Customer or by the Customer's own end customers.
7.2. The Customer, as a professional reseller, remains solely responsible for ensuring the resale of these products to its own customers complies with applicable consumer law.
7.3. AM Global Trading's liability cannot be engaged in cases of force majeure, stock shortages at its suppliers, or indirect damages.
Article 8 — Intellectual Property and Trademarks
8.1. All trademarks featured on the Website are the exclusive property of their respective owners.
8.2. AM Global Trading acts as an authorized distributor/reseller of these products and claims no intellectual property rights over these trademarks.
8.3. The content of the Website (text, visuals, structure) is the property of AM Global Trading and may not be reproduced without prior authorization.
Article 9 — Personal Data Protection
Data collected when creating an account and placing an order is processed in accordance with the General Data Protection Regulation (GDPR). For more information, please see our Privacy Policy.
Article 10 — Governing Law and Disputes
10.1. These Terms are governed by Belgian law.
10.2. In the event of a dispute, an amicable solution will be sought first. Failing agreement, only the courts of the judicial district of Hainaut, Tournai division, shall have jurisdiction.
10.3. The French version of these Terms shall prevail in the event of any discrepancy in interpretation between language versions.
